Nespass Terms of Service

Last Updated: October 17, 2026

1. Introduction

Welcome to Nespass (“we,” “our,” “us,” or the “Platform”). These Terms of Service (“Terms”) govern your access to and use of the Nespass website, services, and features.

Nespass allows users to create customizable payment pages, accept payments through supported payment providers, and build storefronts featuring links, products, services, and other content.

By accessing or using Nespass, you agree to these Terms. If you do not agree, you must not use our services.

2. Eligibility and Accounts

You must meet the minimum legal age required to enter into a binding agreement in your jurisdiction to create an account or use our services independently. If you are under that age, you may use the Platform only where legally permitted and with any required parent or guardian involvement.

You agree to provide accurate, complete, and up-to-date information when creating your account.

You are responsible for maintaining the confidentiality of your login credentials, keeping your account information accurate, and notifying us promptly of suspected unauthorized access.

Nespass reserves the right to restrict, suspend, or terminate accounts that violate these Terms or pose a risk to the Platform, its users, or third parties.

3. Our Services

Nespass may provide features that allow users to:

* Create and customize payment pages. * Offer products, services, or other items for purchase. * Build storefronts containing links, descriptions, images, and other content. * Share public pages with customers or visitors. * Connect supported third-party payment processors. * Access additional features introduced from time to time.

Nespass may add, modify, suspend, or discontinue features, subject to applicable law and any specific contractual commitments.

We do not guarantee uninterrupted availability, error-free operation, or compatibility with every device or third-party service.

4. Payments and Transactions

Payments made through Nespass may be processed by third-party payment service providers.

By using payment features, you agree to comply with the applicable payment processor’s terms, policies, verification requirements, and rules.

Unless expressly stated otherwise, Nespass provides technology that enables users to create payment pages and storefronts. Users are responsible for the products and services they offer through those pages.

Users who create payment pages are responsible for:

* Accurately describing their products and services. * Setting and displaying prices and applicable charges. * Fulfilling orders and providing the goods or services promised. * Communicating with their customers. * Handling customer support, cancellations, and refunds where applicable. * Complying with applicable tax, consumer protection, and business laws.

Nespass does not guarantee that any transaction will be completed successfully. Payments may be declined, delayed, reversed, disputed, or refunded by a payment processor or financial institution.

Nespass does not control the independent decisions of banks, card networks, or third-party payment processors.

5. Fees and Charges

Nespass may charge fees for certain Platform features, including transaction fees, subscription fees, or premium features.

Applicable fees will be disclosed before you agree to the relevant paid service.

Third-party payment processors may charge their own fees under separate agreements.

You authorize Nespass and its designated payment providers to collect applicable charges in accordance with the payment arrangements you accept.

Nespass may change its fees with reasonable advance notice where required by law or applicable agreement.

6. Refunds, Cancellations, and Disputes

Users are responsible for establishing and honoring appropriate refund and cancellation policies for products and services they sell, subject to applicable law and payment processor requirements.

Customers should generally contact the relevant seller regarding purchases made through that seller’s Nespass payment page or storefront.

Nespass may assist with platform-related issues but is not responsible for resolving every dispute between a seller and a customer.

Nothing in these Terms removes any refund, cancellation, chargeback, or other rights consumers may have under applicable law.

7. Acceptable Use

You agree to use Nespass lawfully and responsibly.

You must not use the Platform to:

* Commit fraud, scams, or other deceptive activities. * Sell illegal goods or services. * Facilitate money laundering or other financial crimes. * Violate intellectual property, privacy, or other legal rights. * Distribute malware, phishing links, or harmful material. * Misrepresent your identity, business, products, or services. * Engage in unauthorized transactions or payment manipulation. * Harass, threaten, or exploit other people. * Interfere with the security, operation, or integrity of Nespass. * Circumvent payment processor restrictions or applicable legal requirements.

Nespass may investigate suspected violations and take appropriate action, including removing content, restricting features, suspending accounts, or reporting suspected illegal activity to relevant authorities where appropriate.

8. Storefronts and User Content

You retain ownership of the content you create and upload to Nespass, subject to any rights you have granted to others.

You are responsible for ensuring that your content, including storefront links, images, product descriptions, and payment page information, is accurate, lawful, and does not violate another person’s rights.

By submitting content to Nespass, you grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and distribute that content as reasonably necessary to operate, maintain, promote, and provide the services you use.

This license continues only for as long as reasonably necessary for those purposes, subject to applicable law and our data retention obligations.

You represent that you have the rights and permissions necessary to submit and display your content.

Nespass may remove content that violates these Terms, applicable law, or our legitimate safety and security requirements.

9. Third-Party Services and Links

Nespass may integrate with or link to third-party websites, payment processors, and other services.

We do not own or control these third-party services and are not responsible for their content, availability, policies, or practices.

Your use of third-party services may be governed by separate terms and privacy policies. You are responsible for reviewing those terms before using those services.

10. Intellectual Property

Nespass and its associated branding, logos, website design, software, and original Platform materials are owned by or licensed to Nespass and are protected by applicable intellectual property laws.

You may not copy, modify, distribute, reverse engineer, or commercially exploit our intellectual property without prior written permission, except where permitted by law.

These Terms do not transfer ownership of Nespass intellectual property to you.

11. Privacy

Your use of Nespass is also subject to our Privacy Policy, which explains how we collect, use, store, and disclose personal information.

By using the Platform, you acknowledge that your information will be handled in accordance with our Privacy Policy and applicable law.

You are responsible for ensuring that any personal information you collect from your own customers through your payment pages or storefronts is handled lawfully.

12. Account Suspension and Termination

You may stop using Nespass at any time and may request account deletion through the available account settings or by contacting us.

Nespass may suspend, restrict, or terminate your access if you violate these Terms, create legal or security risks, engage in fraudulent activity, or otherwise use the Platform in a manner that we reasonably determine is harmful.

Where appropriate and legally permitted, we may provide notice and an opportunity to resolve the issue.

Termination does not eliminate obligations incurred before termination, including outstanding fees, unresolved transactions, or applicable legal obligations.

Certain information may be retained where required by law or for legitimate business, security, dispute-resolution, and recordkeeping purposes.

13. Disclaimer of Warranties

To the maximum extent permitted by law, Nespass provides the Platform on an “as is” and “as available” basis.

We make no warranties, express or implied, regarding the Platform’s availability, reliability, accuracy, fitness for a particular purpose, or uninterrupted operation, except where such warranties cannot legally be excluded.

Nespass does not guarantee that users will make sales, receive payments, attract customers, or achieve any particular business results.

14. Limitation of Liability

To the maximum extent permitted by law, Nespass and its owners, affiliates, employees, and service providers will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, business opportunities, or goodwill arising from your use of the Platform.

To the maximum extent permitted by law, Nespass’s total liability for claims arising out of or relating to the Platform or these Terms will be limited to the amount you paid directly to Nespass for use of the Platform during the twelve months preceding the event giving rise to the claim.

This limitation does not apply where prohibited by law or to liability that cannot legally be limited or excluded.

15. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Nespass and its owners, affiliates, employees, and service providers from third-party claims, liabilities, damages, losses, and reasonable expenses arising from:

* Your misuse of the Platform. * Your violation of these Terms or applicable law. * Products or services you offer through your payment pages or storefronts. * Your infringement of another person’s rights. * Your disputes with customers, except to the extent caused by Nespass’s own wrongdoing.

We will provide notice of applicable claims where reasonably practicable. The handling of any defense or settlement will be subject to applicable law.

16. Changes to These Terms

Nespass may update these Terms from time to time.

We will update the “Last Updated” date when changes are made and provide additional notice where required by law.

Your continued use of the Platform after updated Terms take effect constitutes acceptance of the revised Terms to the extent permitted by law. If you do not agree to the updated Terms, you must stop using the Platform.

17. Governing Law

These Terms will be governed by the laws applicable in the jurisdiction where Nespass is legally established, without regard to conflict-of-law principles, except where consumer protection laws require otherwise.

Any disputes will be handled by the courts or other dispute-resolution forums with appropriate jurisdiction, subject to applicable law.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.

19. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms applicable to specific features, constitute the agreement between you and Nespass regarding your use of the Platform.

They supersede prior agreements concerning the same subject matter, except where a separate written agreement expressly applies.
